General Terms and Conditions (GTC)
Version: 14 October 2026
1. Scope
These General Terms and Conditions (GTC) apply to the use of the «Velro» platform (hereinafter «Service»), operated by Elias Felder (sole proprietorship, UID CHE-483.754.601), Reichensteinerstrasse 15, 4153 Reinach BL, Switzerland (hereinafter «Provider»).
By registering for or using the Service, the user accepts these GTC. Deviating terms of the user are not recognised.
2. Description of services
Velro offers an AI-powered back-office solution for SMEs with the following features:
- AI-powered email analysis and reply suggestions
- Scheduling and calendar integration
- Creating and managing quotes
- Invoicing including the Swiss QR payment part
- Automatic follow-up messages
- Contact management
- Team features
- Analytics and reporting
The scope of the available features depends on the selected subscription (Basic, Pro, Business or a custom plan put together from modules). Subscriptions apply per company (company workspace): anyone who runs several companies takes out a separate subscription for each and receives separate invoices for it.
3. Registration and user account
Registration is required for use. The user is obliged to provide truthful information and to keep their login credentials confidential.
The user is liable for all activities carried out via their account.
4. Prices and payment
The current prices can be viewed on the website at velro.ch. All prices are exclusive of any value added tax. The Provider is currently not registered for VAT; no VAT is therefore charged or shown. If the Provider becomes liable for VAT, VAT at the statutory rate will be added to the prices; the user will be informed by email at least 30 days in advance.
Billing takes place monthly or annually in advance, depending on the selected billing interval. Payment is processed via the payment service provider Stripe.
The Provider reserves the right to adjust prices with 30 days' notice. The user will be informed of price changes by email.
Free tools and Premium documents
The free tools on velro.ch (e.g. QR invoice, quote, payment reminder) can be used free of charge without an account. Documents created for free carry the note “Created with Velro”. The user is responsible for the accuracy of the details and the use of the documents.
Premium documents are bought as a pack by one-time payment via Stripe; no subscription is created. A Premium document is used up on the first download of a new document; the same document with unchanged details can be downloaded again without further use. The credit does not expire. It is tied to the browser or to the link sent by email; anyone who knows the link can use the credit. If a Premium document cannot be created for technical reasons, no credit is used. Refunds of purchased credit are excluded unless the provider discontinues Premium documents; unused credit is then refunded pro rata. Subscribers with the matching module (invoices or quotes) use Premium documents without credit.
5. Free trial
New users receive a one-time free trial of 14 days for a newly created company that has never had a subscription. A valid payment method must be provided to start the trial. At the end of the trial, the selected subscription automatically turns into a paid subscription and the stored payment method is charged, unless the subscription is cancelled before the trial ends. During the trial, cancellation is possible at any time and free of charge via the account settings.
Invitation campaigns: With a personal invitation link or code, a different trial may apply, for example a longer duration, even if the regular trial has already been used. The conditions of the respective invitation take precedence over this section. If an invitation provides for starting without a payment method, the subscription ends automatically at the end of the trial if no payment method has been provided by then; no costs are incurred.
Taking over a company: Anyone who takes over an existing company as owner does not receive a trial. If the remaining term already paid by the previous owner is at least 49 hours, the new subscription only begins at its end. If the remaining term is shorter, it begins immediately for technical reasons; the overlap of less than 49 hours is not refunded.
6. Term and termination
The subscription is concluded monthly or annually, depending on the selected interval, and is automatically renewed for the respective billing period unless it is cancelled before that period ends.
Cancellation is possible at any time via the account settings or by email to support@velro.ch. Cancellation takes effect at the end of the current billing period; until then, the Service remains fully usable.
If the user deletes a company account or their user account, the associated subscription ends immediately. In this case, amounts already paid for the remaining billing period are not refunded.
After the subscription has expired, the features of the Service are locked. The stored data is retained as a dormant company account and becomes available again after a new subscription is taken out. The user can choose at any time whether to have their data returned (provided in a common format on request) or deleted. It is deleted when the user deletes the company account or their user account or requests deletion from the Provider; this also ends the data processing on behalf under section 8. The retention periods for backups are set out in the privacy policy.
7. Availability
The Provider strives for high availability of the Service. Planned maintenance work is announced in advance whenever possible.
The Provider is not liable for outages due to force majeure, disruptions at third-party providers or circumstances beyond its control.
8. Data protection
Personal data is processed in accordance with our privacy policy and the provisions of the Swiss Federal Act on Data Protection (FADP) and, where applicable, the EU General Data Protection Regulation (GDPR).
Data processing on behalf
Insofar as the user processes personal data of third parties with Velro (in particular the contents of connected email accounts and calendars, contacts, quotes and invoices), the user is the controller and the Provider is the processor within the meaning of Art. 9 FADP and Art. 28 GDPR. This section constitutes the data processing agreement. The Provider:
- processes this data only to provide the Service and in accordance with the instructions of the user resulting from their use and their settings in Velro, and not for its own purposes;
- obliges all persons with access to confidentiality and takes the technical and organisational security measures described in the privacy policy;
- uses the sub-processors named in the privacy policy (hosting, data backup, AI providers, email delivery, payment processing). It informs the user in advance about new sub-processors; the user may object for good cause and in this case terminate the contract;
- informs the user without delay if it believes that an instruction violates applicable data protection law;
- supports the user with requests from data subjects, with data protection impact assessments and with fulfilling their other obligations, and reports data security breaches to the user without delay;
- provides the user on request with all information necessary to demonstrate compliance with these obligations, and allows audits, including inspections, by the user or an auditor mandated by them who is bound to confidentiality, with reasonable prior notice and in principle during business hours; proof may also be provided by means of current audit reports;
- after the end of the provision of services, returns the data to the user or deletes it, at the user's choice, unless there is a statutory retention obligation (procedure see section 6); copies in backups are overwritten within the periods stated in the privacy policy.
The user is responsible for ensuring that they may lawfully process the data of their contacts with Velro and that they fulfil their own duties to inform these persons.
9. Use of the AI features
AI-generated content (email replies, quotes, invoices, etc.) consists of suggestions and is only sent or used after the user's express confirmation. Exceptions are follow-up rules that the user expressly sets to automatic sending; these send the template stored by the user without further confirmation. The user bears sole responsibility for all content sent.
The Provider gives no guarantee for the correctness, completeness or appropriateness of AI-generated content. The user is obliged to check AI-generated content before use.
The user's content (emails, contacts, company knowledge, documents) is not used to train AI models, neither by the Provider nor by the AI providers used. It serves exclusively to provide the service to the respective user.
The AI features are available within the scope of fair use appropriate to the booked plan. The following limits apply:
- The monthly quota for AI reply suggestions depends on the booked AI tier.
- Each company account has a monthly cost budget for AI usage, which depends on the AI tier and is designed for the usual volume of an SME. If it is exceeded, the Provider processes further AI requests via a lower-cost model until the end of the calendar month; at a multiple of the budget, AI requests are limited until the end of the month and the user receives a notice in the app.
- The automatic analysis of incoming emails is limited per company account and day; emails received beyond this limit are stored and displayed. For emails from the last three days, the analysis is carried out automatically as soon as capacity becomes available again; older emails remain without automatic analysis.
- To protect overall operations, a daily cost limit across all customers also applies. If it is exceptionally reached, AI requests from all customers may temporarily run via a lower-cost model or be limited until the following day. This is not a measure against individual users.
In the event of abusive or automated mass use, the Provider may additionally restrict the AI features.
10. Obligations of the user
The user undertakes:
- not to use the Service for unlawful purposes
- not to process any content that violates applicable law
- to keep their login credentials confidential and not to pass them on to third parties
- to inform the Provider without delay of security incidents
11. Liability
The Provider is liable for damage it causes intentionally or through gross negligence. Liability for slight negligence, for indirect damage, consequential damage and loss of profit is excluded to the extent permitted by law.
The user remains responsible for the correctness of the content created and sent with Velro (in particular quotes, invoices and emails) and for the statutory retention of their business records.
12. Intellectual property
All rights to the Service, the software and the associated materials belong to the Provider. The user receives a non-exclusive, non-transferable right of use for the duration of the subscription.
The data and content entered by the user remain the property of the user.
13. Changes to the GTC
The Provider reserves the right to change these GTC at any time. Changes will be communicated to users by email at least 30 days in advance. Continued use of the Service after the changes take effect is deemed to be consent. If the user rejects the new GTC, they have an extraordinary right of termination.
14. Final provisions
Swiss law applies, excluding its conflict-of-laws rules. The place of jurisdiction is Reinach BL, Switzerland. For consumers, the mandatory statutory provisions of their country of residence apply.
Should individual provisions of these GTC be or become invalid, the validity of the remaining provisions shall not be affected. The invalid provision shall be replaced by a provision that comes closest to the economic purpose of the invalid provision.
